Five promises, written into the terms

What founder-friendly means, in writing.

Every cap table vendor says they’re founder-friendly. These five are written into the product, the price list and the terms of service, so you can hold us to them.

01

Published pricing

Our list price is the price everyone pays. No "Enterprise - call us." No surprise renewal jumps.

02

One price, everyone

Everybody on a tier pays the same published rate, with no intro discounts and nothing negotiated. If it ever changes, it changes for everyone at once.

03

No conflicts of interest

We will never run a secondary market, fund admin, or anything that depends on contacting your shareholders.

04

Never trapped

Your cap table in an open, Apache-2.0 schema, exportable any time, with a migration guide to our competitors.

05

Only what you need

We build the features early founders need and leave the rest out. If something you need is missing, tell us with a single click.

Your data, protected

Security built in from day one.

Your cap table holds share counts, tax IDs and bank details for everyone who owns part of your company. Here is how it is kept.

Encrypted, end to end

TLS 1.3 in transit and AES-256 at rest. The most sensitive identifiers, SSNs, EINs and bank details, are encrypted at field level and held separately from the rest of your record.

We never mine it

We don’t sell your data, train models on it, or contact your shareholders. Access is least-privilege, and every change is written to a tamper-evident, hash-chained audit trail.

Never lost, never locked in

Managed Postgres with automated backups, and independent third-party penetration testing before we leave beta. Export everything in one click any day, and erase it permanently when you leave.

¹ Carta doesn’t publish list pricing; figure is the median annual contract from buyer-reported data (679 contracts, PriceLevel). Carta’s Launch plan is free up to 25 stakeholders. ² Pulley Startup ($1,200/yr, 25 holders) and Growth ($3,500/yr, 40 holders), per pulley.com/pricing. ³ Carta and Pulley both export (Carta is an Open Cap Table Format founding member), but buyers report historical transactions and audit trails don’t always transfer cleanly. Pricing

Priced for what your company needs at each stage.

You move up a tier when your company hits the milestone that needs the next set of capabilities. Nothing is metered per stakeholder, so raising lots of small checks costs you nothing extra, and the free tier stays free with unlimited stakeholders.

While Tenacap is in beta, nobody is billed. The tiers below take effect at general availability, and we’ll tell every beta customer before that starts.

Buy one feature from the tier above.

Every feature in the next tier up can be added on its own, so a single audit question doesn’t force a whole upgrade.

Here’s the arithmetic, published rather than buried. Five add-ons on Traction is 5 × $12 = $60/mo, which is what moving up to Growth costs ($99 − $39). Five on Starter is $40/mo against a $39 Traction upgrade. So at your fifth add-on we move you to the full tier automatically and stop billing add-ons - you get the other five features for nothing. We’d rather show you the math than ask you to trust that we won’t structure the tiers to make you over-buy.

Attorney and advisor seats are free across every tier. Third-party services (e.g. a partner 409A) are pass-through priced.

For attorneys, fractional CFOs, and advisors

Free seats. Real permissions. Your clients self-serve.

We don’t think your trusted advisors should be the ones who pay. Designated outside counsel and fractional CFOs work on Tenacap for free across every tier - with granular permissions, propose-changes-with-approval workflows, and a firm-wide dashboard for your roster.

Why we built this

Cap tables impact a company broadly: the founding team, the funders, the acquirers. Incumbents have drifted toward serving everyone but the company: pricing that punishes hiring and rewards raising from a few big checks, exorbitant switching costs, and vendors who email shareholders without consent.

I built Tenacap the other way around. The pricing logic these companies inherited - charge by stakeholder, treat founders as the thing to be milked - made sense when software was expensive to build. In 2026 it doesn’t. So Tenacap is flat-rate, founder-aligned, and boring on purpose: we sell software, not monetize access to your stakeholders. The promises on this page are written into our terms of service, not our marketing.

- Jacob Reider, Founder
Building for founders, from day one.

From a founder who lived it

A few years ago I had coffee with a founder who’d raised $100M from four investors. Her cap-table bill was almost nothing. I’d raised $2M from dozens of small checks - and I was paying a fortune. And then every year at renewal that fortune kept increasing dramatically. Tenacap is the first cap table I’ve seen that rejects antiquated software business practices that no longer make sense.

Tenacap is the only cap table platform that gives me exactly the features I need without unnecessary complexity and bloat. The team is clearly UX-obsessed and cares about delivering a simple, clear, and organized experience.

Questions we get a lot.

How can you price so differently from Carta and Pulley?

We’re not venture-backed, so we’re not forced into a revenue growth mindset. We’re interested in providing a service to founders and making enough revenue to sustain it. We are a company under different pressure, and that is the whole difference. It is also why the price gap is not an introductory offer we claw back later: see “Can the price go up?” below for what we commit to.

How does Tenacap make money without per-stakeholder fees?

The same way a software company does: by charging a published, flat subscription for the product. Our $39/month Traction tier supports our COGS at a reasonable gross margin; our $99/month Growth tier is the margin lever. We don’t need to monetize your shareholder list to run a business.

What if my attorney or lead investor insists on Carta?

We're building for that conversation. Our export format is one-click and lossless to Carta's import path, our document templates match the diligence formats firms recognize, and we publish a migration guide. Within 18 months of GA, our goal is that 75%+ of priced rounds closing on Tenacap require zero migration.

Can the price go up?

Yes, and we’d rather say so plainly than promise something we can’t hold for a decade. What we commit to is the shape of it: a change applies to everyone on that tier at once, we give 90 days’ notice, and we won’t do it more than once in any 12 months. You will never pay more than someone who signs up today - and never less, either. That symmetry is the whole point.

Can I buy just one premium feature?

Yes. Every feature in the tier above yours can be added on its own - $8/month each on Starter, $12/month each on Traction. And we publish the arithmetic rather than burying it: five add-ons costs the same as (or more than) simply moving up a tier, so at your fifth we upgrade you automatically and stop billing add-ons. We’d rather show you the math than ask you to trust that we won’t game the tiers.

Do I need an implementation project to get started?

No - there is no implementation fee, no configuration project and no consultant. You upload your cap table and it is there. The reason there is less to learn is that we have left things out on purpose: we build what early founders need and skip the rest, which is a decision rather than a roadmap we have not reached yet. If something you need is missing, every page has a one-click way to tell us.

How do you decide what to build next?

We publish what we’re considering and ask. Every page has a one-click way to tell us what you need - that feedback is read by the people writing the code, and everything we ship is listed publicly in our What’s New log. It’s signal-gathering, not a ballot: we’re not going to promise that the top vote always wins, because sometimes the right answer is the boring compliance work nobody votes for.

Is my data encrypted?

Yes - security is built in from the ground up. AES-256 at rest, TLS 1.3 in transit, and field-level encryption for sensitive PII (SSN, EIN, banking details), and least-privilege access controls throughout. Independent third-party penetration testing is scheduled before we leave beta.

Do you support LLCs? International entities?

V1 is US Delaware C-corp focused - the entity 95% of venture-backable startups incorporate as. LLC support is on the roadmap if early signal warrants it. International entities (UK, Canada, Singapore) are not on the V1 or V2 roadmaps.

What happens to my cap table if Tenacap shuts down?

You have a one-click export every day you’re a customer. The schema is public and Apache-2.0 licensed; multiple competitors will be able to import it. We also commit, in the ToS, that if we ever wind down you get at least 90 days’ notice and at least 90 more days of free, read-only access - long enough to export your cap table, ledger and audit history, and to download every document executed through Tenacap.

When can I use it?

Now - beta is open. Add your email and we’ll send you info on how to get started. We onboard in waves, prioritized by signup date and segment, with founders preparing for a priced round first in line.

Am I charged during beta?

No - nobody is billed while Tenacap is in beta. The tiers and prices above are what apply at general availability, and we’ll tell every beta customer before billing starts, not after.
